Our Rules

The principles we follow when no one is watching.

What Governs Us

Culture is not decoration. It is the invisible architecture underneath every investment, every meeting, every engagement. These rules show how we decide when no one is watching.

Decision Rules

  • Preferably Private First, Reluctant Public. We generally start with boards and management behind closed doors. Public escalation is rarely a priority.
  • No Marginal Impact, No Mandate. We engage only if our involvement can change the outcome. If not, we pass.
  • Time & Capital Must Justify Conflict. Conflict must earn its keep. The costs must be outweighed by durable gains.
  • Integrity Over Optics. Reputation is not a press release. We hold to consistency whether or not the spotlight is on.
  • Post-Mortem Discipline. Every engagement ends with a record: what we believed, what happened, and what we learned.

Tensions We Navigate

The work is not binary. We constantly balance:

  • Short-term signals vs. long-term strength
  • Quiet alignment vs. public accountability
  • Operational execution vs. governance reform

How we lean in these moments defines our culture more than any slogan.

Working Norms

  • Senior people engage directly; no layers of buffers
  • We insist on clarity: models, capital budgets, governance reporting
  • Disagreement is surfaced early; drift is treated as risk

This is our culture: not slogans, but rules.
Not abstractions, but behaviors.
